General Terms & Conditions

1. General information

1.1 These terms and conditions apply to deliveries made to both “entrepreneurs” – i.e., natural or legal persons or legal partnerships entering into business relations with us in the course of their commercial or self-employed professional activity – and to “consumers” – i.e., natural persons entering into business relations with us for purposes unrelated to any commercial or self-employed activity.
1.2 All offers, deliveries, services, and related contracts between Tekusa AG (as supplier) and the purchaser are governed by these General Terms and Conditions. Deviating conditions apply only if explicitly and mutually agreed in writing.
1.3 By placing an order, the purchaser declares a binding intention to acquire the ordered goods. The contract becomes effective either upon our explicit confirmation or through delivery of the goods.
1.4 Contents of promotional brochures, catalogues and technical data sheets, as well as any product features or characteristics, are not binding unless expressly confirmed in writing. Delivery depends on manufacturer availability. Assembly and operating instructions are only included if provided by the manufacturer.
1.5 For custom-manufactured tools, the purchaser bears responsibility for the accuracy of specifications (drawings, measurements, etc.) provided. These specifications must always be submitted in writing to avoid errors and resulting costs. Custom tools are excluded from return or exchange.

2. Prices

2.1 Unless otherwise expressly agreed, all deliveries are subject to the prices listed in the Tekusa online shop (www.shop.tekusa.ch).
2.2 Shipping and packaging costs are charged separately. Depending on the selected Incoterms or shipping option, additional charges may apply (e.g., customs duties, taxes, transport insurance, etc.).
2.3 All prices are quoted exclusive of the applicable statutory value-added tax (VAT), where applicable.
2.4 The purchaser must check invoices within a reasonable period. Complaints made after the payment deadline will not be considered.

3. Terms of payment

3.1 Payment may be made using the payment methods available in the Tekusa online shop (invoice or advance payment).
3.2 For invoice payments, the amount is due within 30 days of invoicing. Interest of 8% will be charged on overdue payments without prior notice.
3.3 Goods remain the property of Tekusa AG until paid in full.

4. Delivery and shipping conditions

4.1 The minimum order value is CHF 30 per order (excluding shipping, packaging, and VAT). Partial deliveries are permitted if they improve processing efficiency. Transport damage must be reported immediately to the carrier.
4.2 Required or prescribed packaging will not be returned unless specifically stated otherwise.
4.3 Risk and benefit transfer to the purchaser upon delivery. Deviating Incoterms may apply if agreed.
4.4 If ordered goods are no longer available, the purchaser may cancel the order or accept a suggested substitute product, which may differ in quality and price.
4.5 The purchaser acknowledges that the export of certain products (including software and documentation) may be subject to restrictions and licensing requirements based on product type, use or destination. The purchaser agrees to comply fully with all applicable export control and sanction regulations, particularly those of Switzerland, the EU and its member states, and the USA.

5. Return Policy

5.1 The purchaser may return goods within 10 calendar days of delivery, provided the items are unused, undamaged, complete, and in their original packaging.
5.2 Returns are excluded for custom-manufactured items and products specially procured for the customer.
5.3 Return shipping is at the purchaser’s expense and risk.
5.4 If a valid return is made, any payments already received will be refunded or credited upon receipt of the returned goods.

6. Warranty, service

6.1 For business customers, the warranty period is 12 months from delivery. For consumers, the statutory warranty applies.
6.2 We guarantee that the goods are free from material and manufacturing defects. For goods not manufactured by us, the manufacturer’s warranty terms apply.
6.3 The purchaser must inspect each delivery immediately upon receipt for visible damage, incorrect deliveries or missing items. Complaints must be reported within 3 working days. Defects discovered during the warranty period must be reported immediately. If no defect is found or if it is not covered under warranty, inspection and shipping costs may be charged to the purchaser.
6.4 For defects covered by warranty, repair or replacement (with equivalent goods) will be provided at our or the manufacturer’s discretion. All other warranty claims, including rescission or price reduction, are excluded.
6.5 Repair and service of Tekusa products may be offered separately. The purchaser bears the associated costs. If the purchaser requests a cost estimate but decides not to proceed with the repair, the estimate (plus handling fee) will still be charged.

7. Liability

7.1 Any liability of Tekusa AG for breach of contract, impossibility of performance, delay in delivery, warranty or any other legal grounds is excluded to the extent permitted by law.
7.2 Under no circumstances shall the buyer be entitled to claim compensation for damages that have not occurred to the delivery item itself, such as loss of production, loss of use, loss of orders, claims by third parties, loss of profit and other consequential and indirect damages.

8. Final provisions

8.1 Data protection: Personal data provided by the purchaser will be treated confidentially and with appropriate care. For more information, please refer to the privacy policy at www.shop.tekusa.ch.
8.2 Amendments: We reserve the right to amend these terms at any time.
8.3 Severability: If any provision of these terms or of a related contract is found to be invalid, the remaining provisions remain unaffected.
8.4 Applicable law: This agreement and all legal relations between the parties are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
8.5 Jurisdiction: Unless mandatory legal provisions state otherwise, jurisdiction and place of performance is Zetzwil or Beromünster, Switzerland. We also reserve the right to take legal action at the purchaser’s place of business or residence.
